Chief Legal Officer (CLO) - Founding Executive Company Description: In the growing and competitive world of applied biotechnology, a new era in consumer-level biotech is emerging, and LEGACY Biotheoretics is at the forefront. Role Description: Please read the entirety of the listing for clarification. This is a remote role for the Chief Legal Officer (CLO) position. LEGACY is seeking a highly experienced legal executive to build and lead the company's legal operations, establishing the governance frameworks, contractual infrastructure, intellectual property discipline, and regulatory positioning necessary to support current initiatives and long-term growth. This executive role is central to LEGACY's mission of advancing biotechnology responsibly while maintaining operational rigor, strategic protection, and institutional credibility. The ideal candidate will bring strong legal judgment, startup adaptability, and a demonstrated ability to construct scalable legal systems from the ground up. The CLO will work closely with the CEO and other C-Suite leaders to ensure LEGACY's legal strategy aligns with its scientific ambitions, business objectives, and risk posture.

Key Responsibilities

Corporate Governance & Legal Architecture

  • Develop and implement LEGACY's governance structure, founder documentation, and equity mechanics to support organizational scale.
  • Establish decision-making frameworks and documentation standards that promote clarity, accountability, and investor readiness.
  • Partner with executive leadership to ensure legal alignment with corporate strategy and operational planning.
  • Precipitate and address legal obstacles, opportunities, areas of growth, and other general and specific areas of corporate legal need.
  • Draft, standardize, and negotiate core legal agreements including NDAs, advisor and consulting agreements, IP assignments, research collaborations, and vendor contracts.
  • Build and maintain a disciplined contract lifecycle management system encompassing approvals, storage, renewals, and version control.
  • Define baseline liability structures, indemnification practices, and stage-appropriate insurance readiness. Intellectual Property & Confidentiality Infrastructure
  • Design and implement invention capture and assignment workflows to ensure a clean chain-of-title across innovations.
  • Coordinate with outside patent counsel and manage external legal resources effectively.
  • Enforce confidentiality protocols across employees, advisors, contractors, laboratories, and strategic partners. Regulatory Strategy Support
  • Maintain a clear legal roadmap distinguishing contained research oversight from future commercialization requirements.
  • Support diligence readiness through risk assessments, compliance positioning, and investor-facing legal narratives.
  • Collaborate cross-functionally to anticipate regulatory developments and proactively guide company preparedness. Executive Partnership
  • Serve as a strategic advisor to the CEO and leadership team on legal exposure, structural decisions, and long-horizon planning.
  • Help cultivate a culture of disciplined execution, ethical responsibility, and operational transparency.
  • Contribute to investor and board-level communications where legal insight is required. Required Skills and Experience
  • Proven legal leadership within biotechnology, life sciences, animal health, medical device, deep tech, or other regulated research environments.
  • Demonstrated success advising high-growth or early-stage companies.
  • Deep understanding of corporate governance, contract negotiation, intellectual property coordination, and enterprise risk management.
  • Strong executive presence with the ability to translate complex legal concepts into practical strategic guidance.
  • Experience working cross-functionally with scientific, operational, and financial leadership.
  • Exceptional discretion and integrity when managing confidential programs. Educational Qualifications
  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing (California preferred but not required).
  • Minimum of 7 years of relevant legal experience.
  • Prior experience supporting venture-backed companies or emerging technology organizations strongly preferred.
  • Background in regulatory strategy or oversight within a scientific or technical field is a plus.
  • Experience managing outside counsel and legal budgets preferred.
